OOHSTUDIO LLC

By booking photography services, scheduling a session, or submitting payment, Client agrees to the following terms.

1. SERVICES

OOHSTUDIO LLC agrees to provide photography services as outlined in the selected package, proposal, or written confirmation.

The scope of work, number of delivered images, and delivery timeline are defined at booking confirmation.

2. COPYRIGHT

All images remain the exclusive copyrighted property of OOHSTUDIO LLC.

No copyright ownership is transferred unless explicitly agreed in writing under a separately negotiated buyout agreement.

Client purchases a limited license to use the images as defined below.

3. LICENSE – REAL ESTATE (MLS)

Client is granted a non-exclusive, non-transferable license to use images solely for marketing the specific property for which they were created.

Permitted use includes:

-MLS

-Real estate listing platforms

- Property-specific brochures

-Digital promotion related to that listing

-Social media marketing tied to that property

License is valid only for the duration of the active listing and related transaction.

Images may not be reused for future listings without written permission.

4. LICENSE – SHORT-TERM RENTAL (AIRBNB / VRBO)

Client is granted a non-exclusive license to use the images for marketing the specific rental property on short-term rental platforms and related digital promotion.

No resale, transfer, or corporate advertising rights are included.

5. LICENSE – COMMERCIAL / BRANDING / HEADSHOTS / EVENTS

Unless otherwise specified in writing:

Client is granted a non-exclusive license to use the images for:

Business marketing

Website use

Social mediaP

romotional materials

Portfolio presentation

This license does not include resale, third-party distribution, advertising campaigns beyond the Client’s own business, or transfer of rights. Expanded commercial advertising, national campaigns, print publications, or unlimited usage require a separate written agreement and fee.

6. PROHIBITED USE & AI RESTRICTIONS

Images may not be:

Altered, filtered, retouched, or digitally manipulated without written consent

Modified using AI tools (including generative fill, object removal, sky replacement, enhancement tools, or derivative image creation) without prior written approval

Submitted to MLS or other platforms in altered form that could violate listing regulations

Sold, transferred, sublicensed, or provided to third parties without separate licensing

Used in a manner that misrepresents the work or property

Client assumes responsibility for any fines, penalties, or violations resulting from unauthorized modification or misuse.

7. THIRD-PARTY USE

Builders, designers, stagers, developers, publications, magazines, or other agents must obtain separate licensing directly from OOHSTUDIO LLC unless otherwise agreed in writing.

8. DRONE FLIGHT POLICY

Drone photography may be included in selected packages at a bundled rate.

All drone operations comply with FAA Part 107 regulations and applicable airspace and safety requirements.

Drone operations may be restricted due to:

Airspace limitations

Temporary flight restrictions

Weather conditions

Safety concernsHOA or location-specific rules

If drone services cannot be performed due to legal or safety limitations, package pricing remains unchanged. Drone services included in bundled packages are discounted and not itemized separately.The inability to perform drone operations does not constitute breach of contract.

9. RESCHEDULING & CANCELLATION

Rescheduling within 24 hours may result in a fee. Day-of cancellations may require a new booking and deposit. Weather-related decisions are the responsibility of the Client unless otherwise agreed.

10. PAYMENT

Payment is due upon delivery unless otherwise agreed.

No usage rights are granted until full payment is received. Submission of payment constitutes acceptance of these terms.

11. LIMITATION OF LIABILITY

OOHSTUDIO LLC is not responsible for:

Property condition

Staging decisions

Marketing results

Platform compliance beyond delivered files

Client alterations

Weather or access restrictions
